Retro Replay Partner Affiliate Agreement

This agreement is between the “Partner” defined as the person, persons, or entity entering into the agreement, and Retro Replay, LLC., the issuer of this agreement. The “Partner” will be referred to as “Partner” and Retro Replay, LLC., as Retro Replay.

Compensation

Retro Replay agrees to compensate the Partner 10% of the total purchase value of all goods purchased by customers using the Partner’s referral code issued by Retro Replay. The total purchase value is the retail cost of goods sold paid by the referral and does not include the cost of shipping, tax collected, or discounts received. However, this value is calculated before Retro Replay’s expenses.

Example: Item 1 Sold $100, Shipping $10, Tax $6, Discount 10% = Order Value of $90 = Partner Compensation of $9

Partner Discount

Upon entering into this agreement, the Partner will be issued a unique “Partner Discount” code of no less than a 10% discount off of the purchases made by the Partner at SegaReplay.com or RetroReplayers.com. This code may not be used by any party outside the Partner.

Payment

Compensation for referrals will be paid on a monthly basis on the 1^st Monday of the month unless said day falls upon a Federal Holiday or the amount is less than $20. If the payment date falls upon a Federal holiday, a payment will be remitted on the first non-holiday week day following the end of the Federal Holiday. If the accrued balance is less than $20, the amount earned will be rolled-over unto the next month, or until the amount is at least $20.

Tracking of Sales

Retro Replay agrees to maintain a “Partner Dashboard”, also known as an “Affiliate Dashboard” with transparent tracking of sales made using the Partner’s affiliate code. The Partner has the right to request verification of sales made which are not displayed on the dashboard. Should such sales be discovered, Retro Replay will manually add them to the Partner Dashboard.

Non-allowed Sales

The partner may not obtain goods for themselves from Retro Replay using the affiliate code.

Non-Compete

The Partner agrees to not promote a direct competitor of Retro Replay while this agreement is in force. Should a promotion be made by the Partner which Retro Replay considers a violation of this Non-Compete Clause, Retro Replay will issue one warning per unique infraction to the Partner. Should the Partner violate the warning, this contract will be null and void from that date forward.

Adult Content

To protect our brand image, Sega Replay does not wish to be associated with adult content. The partner may NOT display affiliation or referral codes on adult-oriented social media accounts or websites. Adult content is defined as any material not suitable for a General Audience such as: pornagraphy, real-life violence, political themes, nationalist themes, or anything which wouldn’t be considered “PG”. If the partner is unsure if their content is unsuitable, they have the responsibility to contact Retro Replay for review before displaying affiliation or referral codes.

Employee Relationship

The Partner is NOT an employee of Retro Replay, LLC. This agreement is a voluntary partnership without legal status. The Partner is considered a “Paid Contractor” for legal and tax purposes. Payments remitted to the Partner will be declared as “contract work payments” to the United States IRS as required by Federal law.

Age Requirements

Retro Replay is a US-based business incorporated in the State of Illinois. Per Federal and State laws, you must be at least the age of 18 to be a partner. If you are under the age of 18, you will need to have a legally-authorized adult such as a legal guardian or  agent complete this application and receive payments on your behalf.

Term of this Agreement

This agreement is made indefinitely but may be freely ended by either party without penalty for any reason or circumstance. Should either party cancel this agreement, Retro Replay agrees to pay the Partner any outstanding payments of sales made before the date and time of the cancellation of the contract. Any sales made after the date and time of the cancellation of this contract will be void of compensation for the Partner. In addition, the Partner Discount will be terminated at the date and time this contract is ended.

What this Agreement Does Not Offer

This agreement is freely entered for the mutual benefit of both parties. This agreement is not an offer of employment. Retro Replay does not make any promises of compensation beyond the agreed upon 10% compensation outlined in the “Compensation” section, or the “Partner Discount”.
